End User License Agreement | TBR Algo

This End User License Agreement ("EULA" or "Agreement") is a legal agreement between you and TBR Algo ("Company", "we", "us", or "our") for the use of TBR Algo software, platform, services, and related materials (collectively, the "Software"). By downloading, installing, accessing, or using the Software, you agree to be bound by the terms of this Agreement.

1. Grant of License

Subject to your compliance with this Agreement and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to:

Personal Use

Access and use the Software for your personal or internal business trading activities

Trading Tools

Use algorithmic trading tools and educational materials as provided

Premium Features

Access premium features based on your subscription level

2. License Restrictions

You may NOT:

•Copy, reproduce, distribute, or create derivative works of the Software
•Reverse engineer, decompile, disassemble, or attempt to derive source code
•Resell, sublicense, rent, lease, or transfer your license to others
•Remove or modify any proprietary notices or labels
•Use the Software for any illegal or unauthorized purpose
•Share account credentials or allow unauthorized access
•Attempt to circumvent security features or access controls

3. Intellectual Property

The Software and all related materials are protected by copyright, trademark, and other intellectual property laws. All rights, title, and interest in the Software remain with TBR Algo and our licensors.

4. User Data and Privacy

Your use of the Software is governed by our Privacy Policy. By using the Software, you consent to the collection and use of your data as described in the Privacy Policy.

5. Trading Risk Disclaimer

6. Subscription and Payment

Access to premium features requires a paid subscription. Subscription terms, pricing, and billing are managed through our payment processor Whop. Refunds are subject to our Return Policy.

7. Software Updates

We may provide updates, patches, or new versions of the Software. You agree to install and use such updates as they may be necessary for continued access to the Software.

8. Third-Party Services

The Software may integrate with third-party services including trading platforms, brokers, and market data providers. Your use of such services is subject to their respective terms and conditions.

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

LIABILITY LIMITATION

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY TRADING LOSSES, MISSED OPPORTUNITIES, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SOFTWARE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Termination

This Agreement is effective until terminated. We may terminate your license immediately if you breach any terms. Upon termination, you must cease all use of the Software and destroy any copies.

12. Governing Law

This Agreement is governed by the laws of England and Wales. Any disputes shall be resolved through binding arbitration in accordance with the rules of the London Court of International Arbitration.

13. Changes to Agreement

We reserve the right to modify this Agreement at any time. Continued use of the Software after changes constitutes acceptance of the revised terms.
